（１０）付款條件： 開(kāi)給我方１００％保兌的不可撤回即期付款之信用證，并須注明可在裝運(yùn)日期后１５天內(nèi)議付有效。
（１１）保 險(xiǎn)： 按發(fā)票１１０％保全險(xiǎn)及戰(zhàn)爭(zhēng)險(xiǎn)。
由客戶自理。
（１２）買(mǎi)方須于＿＿年＿＿月＿＿日前開(kāi)出本批交易信用證，否則，售方有權(quán)：不經(jīng)通知取消本合同，或接受買(mǎi)方對(duì)本約未執(zhí)行的全部或一部，或?qū)σ虼嗽馐艿膿p失提出索賠。
（１３）單 據(jù)： 賣(mài)方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票、中國(guó)商品檢驗(yàn)局或工廠出具的品質(zhì)證明、中國(guó)商品檢驗(yàn)局出具的數(shù)量／重量簽定書(shū)；如果本合同按ＣＩＦ條件，應(yīng)再提供可轉(zhuǎn)讓的保險(xiǎn)單或保險(xiǎn)憑證。
（１４）凡以ＣＩＦ條件成交的業(yè)務(wù)，保額為發(fā)票價(jià)值的１１０％，投保險(xiǎn)別以本售貨合同中所開(kāi)列的為限，買(mǎi)方如要求增加保額或保險(xiǎn)范圍，應(yīng)于裝船前經(jīng)售方同意，因此而增加的保險(xiǎn)費(fèi)由買(mǎi)方負(fù)責(zé)。
（１５）質(zhì)量、數(shù)量索賠： 如交貨質(zhì)量不符，買(mǎi)方須于貨物到達(dá)目的港３０日內(nèi)提出索賠；數(shù)量索賠須于貨物到達(dá)目的港１５日內(nèi)提出。對(duì)由于保險(xiǎn)公司、船公司和其它轉(zhuǎn)運(yùn)單位或郵政部門(mén)造成的損失賣(mài)方不承擔(dān)責(zé)任。
（１６）本合同內(nèi)所述全部或部份商品，如因人力不可抗拒的原因，以致不能履約或延遲交貨，售方概不負(fù)責(zé)。
（１７）仲裁： 凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方通過(guò)友好方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等約束力。仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有決定外，均由敗訴一方負(fù)擔(dān)。仲裁也可在雙方同意的第三國(guó)進(jìn)行。

This contract is made by and between the Sellers and the Buyers;Whereby the Sellers agree to sell and the Buyers agree to buy the undermentioned goods according to the terms and conditions stipulated below and overleaf:

By 100% Confirmed, Irrevocable and Sight Letter of Credit to remain valid for negotiation in China until the 15th day after shipment.
(11) Insurance:
Covers all risks and warrisks only as per the Clauses of the People's Insurance Company of China for 110% of the invoice value.

(12) The Buyer shall establish the covering Letter of Credit before_________; failing which, the Seller reserves the right to rescind this Sales Contract without further notice, or to accept whole or any part of this Sales Contract, non-fulfilled by the Buyer, of to lodge claim for direct losses sustained.
(13) Documents: The Sellers shall present to the negotiating bank,Clean On Board Bill of Lading, Invoice, Quality Certificate issued by the China Commodity Inspection Bureau or the Manufacturers, Survey Report on Quantity/Weight issued by the China Commodity Inspection Bureau, and Transferable Insurance policy or Insurance Certificate when this contract
is made on CIF basis.
(14) For this contract signed on CIF basis, the premium should be 110% of invoice value. All risks insured should be included within this contract. If the Buyer asks to increase the insurance premium or scope of risks, he should get the permission of the Seller before time of loading,and all the charges thus incurred should be borne by the Buyer.
(15) Quality/Quantity Discrepancy; In case of quality discrepancy,claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organizations and/or Post Office are liable.
(16) The Seller shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents.
(17) Arbitration:
All disputes in connection with this contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to China International Economic And Trade Arbitration Commission in accordance with the provisional Rules of Procedures promulgated by the said Arbitration Commission. The arbitration shall take place in Beijing and the decision of the Arbitration Commission shall be final and binding upon both parties; neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party. Or arbitration may be settled in the third
country mutually agreed upon by both parties.
(18) The Buyer is requested always to quote THE NUMBER OF THE SALES CONTRACT in the Letter of Credit to be opened in favour of the Seller.
